(\u010falej len \u201eOdosielate\u013e\u201c v&nbsp;pr\u00edslu\u0161nom gramatickom tvare) a fyzick\u00e1 osoba, pr\u00e1vnick\u00e1 osoba a \u010fal\u0161ie subjekty pr\u00e1va, ktor\u00e9 s\u00fa podnikate\u013emi (\u010falej ako \u201eDopravca\u201c v&nbsp;pr\u00edslu\u0161nom gramatickom tvare). Dopravca pri uzatv\u00e1ran\u00ed a uskuto\u010d\u0148ovan\u00ed prepravnej zmluvy kon\u00e1 v r\u00e1mci svojej podnikate\u013eskej \u010dinnosti. Predmetom zmluvy o preprave je \u00faprava vz\u00e1jomn\u00fdch pr\u00e1v a povinnost\u00ed zmluvn\u00fdch str\u00e1n vznikaj\u00facich pri preprave z\u00e1sielky.<\/li>\n\n\n\n<li><strong>By transporting the shipment<\/strong> means either the domestic shipment of the shipment or the international shipment of the shipment.<\/li>\n<\/ol>\n\n\n\n<p><strong>By domestic transport of the shipment<\/strong> means the shipment of the shipment if the place of receipt of the shipment and the expected place of its delivery (hereinafter referred to as the &quot;place of destination&quot;) are located in the same state.<\/p>\n\n\n\n<p><strong>By international shipment<\/strong> is understood as transport of the shipment if the place of receipt of the shipment and the destination are in two different states.<\/p>\n\n\n\n<ol class=\"wp-block-list\" start=\"3\">\n<li>Zmluvou &nbsp; o preprave &nbsp; sa &nbsp; Dopravca &nbsp; zav\u00e4zuje &nbsp; Odosielate\u013eovi, &nbsp; \u017ee &nbsp; preprav\u00ed &nbsp; z\u00e1sielku z ur\u010dit\u00e9ho &nbsp; miesta &nbsp; (miesto &nbsp; ur\u010denia) &nbsp; do &nbsp; ur\u010dit\u00e9ho &nbsp; in\u00e9ho &nbsp; miesta &nbsp; (miesto &nbsp; ur\u010denia) a Odosielate\u013e sa zav\u00e4zuje zaplati\u0165 mu odplatu (prepravn\u00e9).<\/li>\n\n\n\n<li>Tieto VOP s\u00fa neoddelite\u013enou s\u00fa\u010das\u0165ou zmluvy o preprave uzatvorenej medzi Dopravcom a Odosielate\u013eom (\u010falej spolo\u010dne len \u201eZmluvn\u00e9 strany\u201c v&nbsp;pr\u00edslu\u0161nom gramatickom tvare). Odchyln\u00e9 ustanovenia p\u00edsomnej zmluvy o preprave maj\u00fa prednos\u0165 pred ustanoveniami t\u00fdchto VOP. Ak\u00e9ko\u013evek odch\u00fdlky od t\u00fdchto VOP musia by\u0165 medzi zmluvn\u00fdmi stranami dohodnut\u00e9 p\u00edsomnou formou, inak s\u00fa neplatn\u00e9.<\/li>\n\n\n\n<li>Pr\u00e1vne vz\u0165ahy zalo\u017een\u00e9 zmluvou o preprave sa riadia Dohovorom o prepravnej zmluve v medzin\u00e1rodnej cestnej n\u00e1kladnej doprave (vyhl\u00e1\u0161ka ministra zahrani\u010dn\u00fdch vec\u00ed \u010d. 11\/1975 Z. z., \u010falej len \u201eDohovor CMR\u201c v&nbsp;pr\u00edslu\u0161nom gramatickom tvare), ak je dan\u00e1 jeho p\u00f4sobnos\u0165 v zmysle ustanovenia \u010dl. 1 ods. 1 a\u017e 4 Dohovoru CMR a subsidi\u00e1rne z\u00e1konom \u010d. 513\/1991 Z. z. Obchodn\u00fd z\u00e1konn\u00edk, v znen\u00ed neskor\u0161\u00edch predpisov (\u010falej len \u201eObchodn\u00fd z\u00e1konn\u00edk\u201c v&nbsp;pr\u00edslu\u0161nom gramatickom tvare) a t\u00fdmito VOP. V pr\u00edpadoch, kedy na dan\u00fd pr\u00e1vny vz\u0165ah zalo\u017een\u00fd zmluvou o preprave nie je mo\u017en\u00e9 aplikova\u0165 ustanovenia Dohovoru CMR, spravuje sa ustanoveniami Obchodn\u00e9ho z\u00e1konn\u00edka, ostatn\u00fdmi pr\u00e1vnymi predpismi Slovenskej republiky a t\u00fdmito VOP.<\/li>\n\n\n\n<li>The carrier is obliged to familiarize himself with the GTC before concluding the transport contract. These General Terms and Conditions apply to all contractual relationships between the Carrier and the Sender, related to the transportation of the shipment, from the moment of concluding the transportation contract until the moment of full fulfillment of all obligations arising for the Contracting Parties from the concluded transportation contract or otherwise related. By concluding a transport contract, the Carrier is bound by these General Terms and Conditions and expresses his agreement with them. Consent to these GTC can also be expressed in another way, especially through electronic communication between the Contracting Parties.<\/li>\n\n\n\n<li>After acceptance of these GTC, all legal relations between the contracting parties will be governed by these GTC in the future, until one of the contracting parties notifies the other contracting party in writing that it no longer wishes to be bound by the Sender&#039;s GTC. The notification takes effect on the day of delivery of the written notification to the other contracting party.<\/li>\n\n\n\n<li>The Carrier&#039;s terms and conditions apply only if the Sender has expressly, in writing, accepted in the transport contract that the Carrier&#039;s terms and conditions take precedence over the terms and conditions of the Sender. Otherwise, the Terms and Conditions of the Sender take precedence over the wording of the Carrier&#039;s terms and conditions.<\/li>\n\n\n\n<li>Odosielate\u013e je opr\u00e1vnen\u00fd VOP priebe\u017ene aktualizova\u0165 alebo zmeni\u0165. V\u0161etky zmeny, doplnky pr\u00edpadne \u00dapln\u00e9 znenie aktualizovan\u00fdch VOP v\u017edy vyd\u00e1 Odosielate\u013e v p\u00edsomnej forme a vhodn\u00fdm sp\u00f4sobom zverejn\u00ed na svojom webovom&nbsp; s\u00eddle.<\/li>\n\n\n\n<li>In case of invalidity of any provision of the General Terms and Conditions or the contract of carriage, the invalidity does not affect their other provisions. The Contracting Parties shall replace the invalid provision of the General Terms and Conditions or the contract of carriage with a new provision that is as close as possible to the meaning and purpose of the Contracting Parties agreed upon when concluding the contract of carriage.<\/li>\n\n\n\n<li>If these General Terms and Conditions stipulate a written form for a certain act, this is considered to be complied with even if the act is done in electronic form, especially via email.<\/li>\n<\/ol>\n\n\n\n<p><strong>An article<\/strong><strong>II<\/strong><\/p>\n\n\n\n<p><strong>An order<\/strong><strong>transportation<\/strong><strong>a<\/strong><strong>closing<\/strong><strong>contracts<\/strong><strong>about transportation<\/strong><\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>The contract of carriage is concluded by the Contracting Parties on the basis of the order of the Sender and its acceptance by the Carrier.<\/li>\n\n\n\n<li>An order is understood as a unilateral legal act of the Sender directed towards the Carrier with the aim of carrying out the transportation of the shipment by the Carrier. The accepted order is considered a draft contract for transportation.<\/li>\n\n\n\n<li>Objedn\u00e1vku zasiela &nbsp; Odosielate\u013e &nbsp; Dopravcovi &nbsp; elektronickou &nbsp; po\u0161tou &nbsp; alebo &nbsp; faxom a objedn\u00e1vka obsahuje nasledovn\u00e9 \u00fadaje:<\/li>\n<\/ol>\n\n\n\n<p>a\/ identification data of the Sender: business name, registered office, ID number, VAT number, person authorized to negotiate the transport of the shipment;<\/p>\n\n\n\n<p>b\/ specification of the shipment, the transport of which the Carrier is to carry out (designation of the type, indication of its dimensions and weight);<\/p>\n\n\n\n<p>c\/ designation of the place of loading;<\/p>\n\n\n\n<p>d\/ date when the shipment is to be loaded;;;;e\/ designation of the place of unloading;<\/p>\n\n\n\n<p>f\/ the date when the unloading is to take place;;; g\/ the cost of transportation;<\/p>\n\n\n\n<p>h\/ the Sender&#039;s special requirements regarding shipment transportation, if any.<\/p>\n\n\n\n<ol class=\"wp-block-list\" start=\"4\">\n<li>The draft contract (&quot;Order&quot;) is considered duly accepted if the Carrier confirms the order by e-mail or in writing, or alternatively confirms the CMR waybill or waybill. The person accepting the order declares that he is duly authorized, authorized or authorized by the authorized person to conclude the transport contract. In case of falsity of this statement, the person accepting the order is responsible for any damages that may have arisen due to invalid conclusion of this contract or invalidly agreed contractual terms based on this proposal. The person in the sense of the previous sentence simultaneously declares that if the Carrier on whose behalf he is acting does not pay the monetary obligation arising from these accepted General Terms and Conditions, he will pay it as a guarantor.<\/li>\n<\/ol>\n\n\n\n<ol class=\"wp-block-list\">\n<li>After acceptance of the transportation order, the transportation contract is considered to be properly concluded and the Carrier undertakes to perform the ordered transportation for the Sender according to the agreed conditions.<\/li>\n\n\n\n<li>If the Carrier has confirmed the draft of the transport contract, but with written reservations, additions, restrictions or other changes, this proposal is a rejection of the original proposal and is considered a new draft of the transport contract directed from the Carrier to the Sender. Only after the unreserved confirmation of the new proposal by the Sender will the transport contract be concluded.<\/li>\n\n\n\n<li>The parties to the contract are bound by the concluded transport contract and are not entitled to unilaterally cancel it, unless the transport contract, these GTC or a generally binding legal regulation stipulates otherwise. Possible changes or additions to the concluded transport contract can only be made in writing, in the form of numbered additions, signed by both the Sender and the Carrier.<\/li>\n\n\n\n<li>The proof of the conclusion of the transport contract is the bill of lading, or CMR consignment note. The bill of lading is drawn up in three original copies, which must contain the stamp and signature of both the Sender and the Carrier. One copy of the bill of lading is for the Sender, one for the Carrier and one accompanies the shipment during transportation. If the bill of lading is missing, has deficiencies or is lost, this does not affect the existence or validity of the concluded transport contract.<\/li>\n\n\n\n<li>If the transported shipment needs to be loaded onto several vehicles, or if it concerns different types or separate parts of the shipment, the Sender or Carrier has the right to request the issuance of as many waybills as the number of vehicles to be used, or how many types or separate parts of the shipment are to be loaded.<\/li>\n<\/ol>\n\n\n\n<p><strong>An article<\/strong><strong>III<\/strong><\/p>\n\n\n\n<p><strong>Rights<\/strong><strong>and duties<\/strong><strong>contractual<\/strong><strong>sides<\/strong><\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>Dopravca &nbsp; je &nbsp; povinn\u00fd &nbsp; vykon\u00e1va\u0165 &nbsp; svoju &nbsp; \u010dinnos\u0165 &nbsp; pod\u013ea &nbsp; dohodnut\u00fdch &nbsp; podmienok, s odbornou starostlivos\u0165ou a kvalitne. V r\u00e1mci t\u00fdchto povinnost\u00ed je Dopravca povinn\u00fd najm\u00e4 riadne sa stara\u0165 o zveren\u00fa z\u00e1sielku ako aj o veci, ktor\u00e9 prevzal v spojitosti so z\u00e1sielkou (ako napr. doklady vz\u0165ahuj\u00face sa k z\u00e1sielke a pod.).<\/li>\n\n\n\n<li>The carrier is obliged to follow the instructions of the sender when carrying out the transport. If the Carrier has not received the necessary instructions from the Sender, it is obliged to request their completion. If there is a risk of delay, the Carrier is obliged to continue the transport even without these instructions so that the interests of the Sender are protected as much as possible.<\/li>\n\n\n\n<li>Dopravca je povinn\u00fd z\u00fa\u010dastni\u0165 sa nakl\u00e1dky aj vykl\u00e1dky, pri\u010dom zodpoved\u00e1 za ich riadnu realiz\u00e1ciu. Pri nakl\u00e1dke je povinn\u00fd skontrolova\u0165, \u010di n\u00e1kladn\u00fd list, resp. n\u00e1kladn\u00fd list CMR obsahuje v\u0161etky povinn\u00e9 \u00fadaje. Dopravca je povinn\u00fd necha\u0165 si pri nakl\u00e1dke potvrdi\u0165 n\u00e1kladn\u00fd list, resp. n\u00e1kladn\u00fd list CMR (pri medzin\u00e1rodnej preprave) alebo z\u00e1znam o prev\u00e1dzke vozidla n\u00e1kladnej prepravy (z\u00e1znam o v\u00fdkone vozidla) pr\u00edpadne in\u00fd doklad o preprave. \u010ealej je Dopravca povinn\u00fd skontrolova\u0165 hlavne mno\u017estvo a hmotnos\u0165 z\u00e1sielky, ozna\u010denie z\u00e1sielky, neporu\u0161enos\u0165 obalu z\u00e1sielky, zjavn\u00fd stav z\u00e1sielky pri nakl\u00e1dke a sp\u00f4sobu jeho ulo\u017eenia na vozidle. Dopravca je \u010falej povinn\u00fd skontrolova\u0165 v\u0161etky sprievodn\u00e9 doklady s\u00favisiace so z\u00e1sielkou (ako je dodac\u00ed list, paletov\u00e9 l\u00edstky na v\u00fdmenu paliet a pod.) a \u00fadaje v nich zap\u00edsan\u00e9. Dopravca je povinn\u00fd zabezpe\u010di\u0165 s\u00falad \u00fadajov obsiahnut\u00fdch v t\u00fdchto sprievodn\u00fdch dokladoch via\u017eucich sa k prepravovanej z\u00e1sielke so skuto\u010dn\u00fdm stavom nakladanej, resp. prepravovanej z\u00e1sielky (jej mno\u017estvom, skuto\u010dnou hmotnos\u0165ou a pod.) a s\u00fa\u010dasne je povinn\u00fd zabezpe\u010di\u0165 s\u00falad skuto\u010dn\u00e9ho stavu nakladanej, resp. prepravovanej z\u00e1sielky (jej mno\u017estvo, hmotnos\u0165, ozna\u010denie a pod.) s \u00fadajmi o z\u00e1sielke uveden\u00fdmi v zmluve o preprave, resp. akceptovanej objedn\u00e1vke. V pr\u00edpade zistenia ak\u00e9hoko\u013evek nes\u00faladu medzi skuto\u010dn\u00fdm stavom nakladanej, resp. prepravovanej z\u00e1sielky a \u00fadajmi obsiahnut\u00fdmi v sprievodn\u00fdch dokumentoch via\u017eucich sa k prepravovanej z\u00e1sielke, alebo v zmluve o preprave, resp. akceptovanej objedn\u00e1vke, je Dopravca v\u017edy povinn\u00fd zisten\u00e9 rozdiely bezodkladne ozn\u00e1mi\u0165 Odosielate\u013eovi (oznamovacia povinnos\u0165) a z\u00e1rove\u0148 si od neho vy\u017eiada\u0165 pokyny k \u010fal\u0161iemu postupu. Dopravca nesmie od\u00eds\u0165 z nakl\u00e1dky sk\u00f4r ako z\u00edska od Odosielate\u013ea pokyny pre \u010fal\u0161\u00ed postup. V pr\u00edpade ak s pokynmi Odosielate\u013ea nes\u00fahlas\u00ed, je v\u017edy povinn\u00fd vykona\u0165 prepravu z\u00e1sielky tak ako bolo dohodnut\u00e9 v zmluve o preprave a v ostatn\u00fdch pr\u00edpadoch je povinn\u00fd postupova\u0165 pod\u013ea udelen\u00fdch pokynov Odosielate\u013ea. Ak Dopravca nespln\u00ed oznamovaciu povinnos\u0165 v zmysle tohto bodu a z d\u00f4vodu zisten\u00e9ho nes\u00faladu medzi skuto\u010dn\u00fdm stavom nakladanej, resp. prepravovanej z\u00e1sielky a \u00fadajmi obsiahnut\u00fdmi v sprievodn\u00fdch dokumentoch via\u017eucich sa k prepravovanej z\u00e1sielke alebo v&nbsp;zmluve o preprave, resp. akceptovanej objedn\u00e1vke nevykon\u00e1 prepravu celej z\u00e1sielky tak ako mu je t\u00e1to odovzdan\u00e1 na nakl\u00e1dke, je Dopravca povinn\u00fd Odosielate\u013eovi uhradi\u0165 zmluvn\u00fa pokutu vo v\u00fd\u0161ke dohodnutej ceny prepravy. Ak Dopravca nespln\u00ed oznamovaciu povinnos\u0165 v zmysle tohto odseku a vykon\u00e1 prepravu z\u00e1sielky tak ako mu t\u00e1to bola na nakl\u00e1dke odovzdan\u00e1, urob\u00ed tak na vlastn\u00fa zodpovednos\u0165, pri\u010dom ak\u00e9ko\u013evek s t\u00fdm spojen\u00e9 \u0161kody alebo naviac n\u00e1klady zn\u00e1\u0161a v\u00fdlu\u010dne Dopravca. V pr\u00edpade, \u017ee Dopravca vykon\u00e1 nakl\u00e1dku prepravovanej z\u00e1sielky v mno\u017estve alebo hmotnosti men\u0161ej ako je uveden\u00e9 v zmluve o preprave, resp. v akceptovanej objedn\u00e1vke je Odosielate\u013e opr\u00e1vnen\u00fd zabezpe\u010di\u0165 n\u00e1hradn\u00fa prepravu tej \u010dasti z\u00e1sielky, ktor\u00e1 nebola Dopravcom nalo\u017een\u00e1 v s\u00falade so zmluvou o preprave, resp. s akceptovanou objedn\u00e1vkou s\u00e1m alebo prostredn\u00edctvom tretej osoby. Odosielate\u013e je opr\u00e1vnen\u00fd vy\u00fa\u010dtova\u0165 Dopravcovi skuto\u010dn\u00e9 n\u00e1klady, ktor\u00e9 Odosielate\u013eovi vznikli zabezpe\u010den\u00edm n\u00e1hradnej prepravy z d\u00f4vodu nenalo\u017eenej \u010dasti z\u00e1sielky. T\u00fdmto nie je dotknut\u00fd n\u00e1rok Odosielate\u013ea na zmluvn\u00fa pokutu z d\u00f4vodu nesplnenia oznamovacej povinnosti v zmysle tohto bodu ako ani pr\u00edpadn\u00e9 n\u00e1roky Odosielate\u013ea pri strate z\u00e1sielky alebo pri prekro\u010den\u00ed dodacej lehoty.<\/li>\n\n\n\n<li>Dopravca je povinn\u00fd z\u00e1kazn\u00edka (t.j. osobu, pre ktor\u00fa Odosielate\u013e zais\u0165uje prostredn\u00edctvom Dopravcu zmluvou o preprave prepravu z\u00e1sielky \u2013 \u010falej len \u201ez\u00e1kazn\u00edk\u201c v&nbsp;pr\u00edslu\u0161nom gramatickom tvare) upozorni\u0165 na nevhodnos\u0165 ulo\u017eenia z\u00e1sielky na vozidle. Pokia\u013e z\u00e1kazn\u00edk z\u00e1sielku neprelo\u017e\u00ed, je Dopravca povinn\u00fd ihne\u010f informova\u0165 Odosielate\u013ea a&nbsp;urobi\u0165&nbsp; p\u00edsomn\u00fa v\u00fdhradu do n\u00e1kladn\u00e9ho listu, resp. n\u00e1kladn\u00e9ho listu CMR. Dopravca je povinn\u00fd ma\u0165 pri nakl\u00e1dke k dispoz\u00edcii potrebn\u00e9 zais\u0165ovacie materi\u00e1ly nutn\u00e9 k upevneniu n\u00e1kladu (proti\u0161mykov\u00e9 podlo\u017eky, ochrann\u00e9 rohy, dostato\u010dn\u00fd po\u010det gurtn\u00ed a pod.) na vozidle a prepravovan\u00fd n\u00e1klad upevni\u0165 v s\u00falade s pr\u00edslu\u0161n\u00fdmi bezpe\u010dnostn\u00fdmi predpismi. Dopravca je povinn\u00fd zabezpe\u010di\u0165 z\u00e1sielku tak, aby nedo\u0161lo k jej po\u0161kodeniu alebo strate.<\/li>\n<\/ol>\n\n\n\n<p>5) The carrier is obliged to inform the sender about the arrival of the vehicle and loading. After loading, he is obliged to inform the sender about the actual loaded weight of the transported shipment. The carrier is responsible for proper loading.<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>In the event of an accident or detention of the Carrier&#039;s vehicle or other obstacle preventing the proper execution of the transport, or upon completion of transportation by the agreed vehicle, the Carrier is obliged to provide another vehicle of similar parameters without delay at its own expense. In case of non-fulfillment of this obligation, all costs incurred by the Sender in connection with the securing of another vehicle will be billed to the Carrier, and the latter is obliged to reimburse the Sender in full for any additional costs incurred. At the same time, the carrier is obliged to pay a contractual fine in the amount of 100 % of the total agreed transportation price for violation of any of the above-mentioned obligations.<\/li>\n\n\n\n<li>The carrier is obliged to carry out all activities under the contract of carriage himself. The authorization or use of a third party for this purpose, with the exception of employees of the Carrier fulfilling their duties arising from the employment relationship, is not permissible without the prior express written consent of the Sender. If the Carrier carries out the transport through another carrier, it is not released from responsibility for damage.<\/li>\n\n\n\n<li>Bez predch\u00e1dzaj\u00faceho p\u00edsomn\u00e9ho s\u00fahlasu Odosielate\u013ea nie je Dopravca opr\u00e1vnen\u00fd z\u00e1sielku u\u017e\u00edva\u0165, ani jej u\u017e\u00edvanie umo\u017eni\u0165 tretej osobe. Bez predch\u00e1dzaj\u00faceho p\u00edsomn\u00e9ho s\u00fahlasu Odosielate\u013ea nesmie by\u0165 spolu s prepravovanou z\u00e1sielkou prepravovan\u00fd \u017eiadny in\u00fd n\u00e1klad a z\u00e1sielka nesmie by\u0165 prelo\u017een\u00e1 resp. vylo\u017een\u00e1 alebo dolo\u017een\u00e1 na in\u00e9 vozidlo. Pre pr\u00edpad poru\u0161enia niektor\u00e9ho z vy\u0161\u0161ie uveden\u00fdch z\u00e1kazov si &nbsp; &nbsp; &nbsp; Zmluvn\u00e9 strany dohodli zmluvn\u00fa pokutu a\u017e do v\u00fd\u0161ky 2000,- EUR za ka\u017ed\u00e9 jednotliv\u00e9 poru\u0161enie.<\/li>\n\n\n\n<li>O nebezpe\u010denstve &nbsp; vzniku &nbsp; \u0161kody, &nbsp; o nebezpe\u010denstve &nbsp; ome\u0161kania &nbsp; s &nbsp; prepravou, &nbsp; ako i \u010fal\u0161\u00edch okolnostiach maj\u00facich vplyv na riadne plnenie zmluvy o preprave Dopravcom, je Dopravca povinn\u00fd bezodkladne informova\u0165 Odosielate\u013ea. V pr\u00edpade vzniku \u0161kody, je Dopravca povinn\u00fd uskuto\u010dni\u0165 potrebn\u00e9 opatrenia a vynalo\u017ei\u0165 potrebn\u00fa odborn\u00fa starostlivos\u0165, aby bola \u0161koda \u010do najmen\u0161ia a bezodkladne informova\u0165 Odosielate\u013ea. Dopravca je \u010falej povinn\u00fd Odosielate\u013ea informova\u0165 o preveden\u00ed nakl\u00e1dky, vyclen\u00ed a vykl\u00e1dky z\u00e1sielky. Po vykonan\u00ed vykl\u00e1dky z\u00e1sielky je Dopravca povinn\u00fd t\u00fato skuto\u010dnos\u0165 ozn\u00e1mi\u0165 Odosielate\u013eovi do jednej hodiny od jej ukon\u010denia. Ak pri vykl\u00e1dke z\u00e1sielky vznikn\u00fa ak\u00e9ko\u013evek probl\u00e9my s \u0148ou spojen\u00e9, je Dopravca povinn\u00fd o tom Odosielate\u013ea bezodkladne informova\u0165. \u010ealej je Dopravca povinn\u00fd na v\u00fdzvu Odosielate\u013ea \u00faplne a pravdivo pod\u00e1va\u0165 Odosielate\u013eovi inform\u00e1cie o plnen\u00ed zmluvy, najm\u00e4 o tom, kde sa z\u00e1sielka pr\u00e1ve nach\u00e1dza. Ak s\u00fa v z\u00e1hlav\u00ed zmluvy o preprave uveden\u00e9 kontaktn\u00e9 osoby Odosielate\u013ea (tzv. disponent), je Dopravca povinn\u00fd inform\u00e1cie pod\u013ea tohto odseku poskytova\u0165 Odosielate\u013eovi prostredn\u00edctvom uveden\u00fdch kontaktn\u00fdch os\u00f4b (i telefonicky). V pr\u00edpade, ak Odosielate\u013eovi hroz\u00ed ak\u00e1ko\u013evek \u0161koda, Dopravca je povinn\u00fd na po\u017eiadanie Odosielate\u013ea ihne\u010f poskytn\u00fa\u0165 telefonick\u00fd kontakt na vodi\u010da, ktor\u00fd vykon\u00e1va prepravu pre Dopravcu. V pr\u00edpade poru\u0161enia niektor\u00fdch z vy\u0161\u0161ie uveden\u00fdch povinnost\u00ed je Dopravca povinn\u00fd uhradi\u0165 zmluvn\u00fa pokutu vo v\u00fd\u0161ke 200,- EUR za ka\u017ed\u00e9 jednotliv\u00e9 poru\u0161enie.<\/li>\n\n\n\n<li>During the entire transportation, the carrier is obliged to park exclusively in safe, guarded parking lots reserved for this purpose. Damage caused to<\/li>\n<\/ul>\n\n\n\n<p>shipment as a result of the Carrier&#039;s breach of this obligation, the Carrier is obliged to reimburse the Sender in full.<\/p>\n\n\n\n<ol class=\"wp-block-list\" start=\"11\">\n<li>Pre pr\u00edpad ome\u0161kania Dopravcu s prevzat\u00edm (nakl\u00e1dkou) z\u00e1sielky v ur\u010denom mieste a\/alebo s doru\u010den\u00edm (vykl\u00e1dkou) z\u00e1sielky na ur\u010den\u00e9 miesto o viac ako 2 hodiny oproti dohodnut\u00fdm \u010dasov\u00fdm term\u00ednom v akceptovanej objedn\u00e1vke Odosielate\u013ea je Dopravca povinn\u00fd uhradi\u0165 zmluvn\u00fa pokutu vo v\u00fd\u0161ke 50,- EUR za ka\u017ed\u00fa hodinu ome\u0161kania Dopravcu. Dopravca je povinn\u00fd uhradi\u0165 pr\u00edpadn\u00fa pokuty udelen\u00fa objedn\u00e1vate\u013eovi v&nbsp;plnej v\u00fd\u0161ke.&nbsp;<\/li>\n\n\n\n<li>In case of failure to bring the vehicle for loading, or cancellation of the transport by the Carrier within 12 hours before the planned loading, the Sender is entitled to demand a contractual penalty from the Carrier in the amount of the agreed transport price.<\/li>\n\n\n\n<li>The carrier declares that, at the time of concluding the contract of carriage, it has valid insurance for its liability for damage incurred during the performance of the contract of carriage, and that the insured value in the case of carrying out transport by a vehicle with a total weight of up to 3.5 tons is at least EUR 33,000 , in the case of transportation by a vehicle with a total weight of up to 7.5 tons, it is at least EUR 75,000, and in the case of transportation by a vehicle with a total weight of 40 tons, it is at least EUR 150,000, and at the same time, the insurance value of the Carrier&#039;s valid insurance is always at least in the amount of the actual value of the transported shipment during the given transportation. The value of the transported shipment will be notified to the Carrier by the Sender. If the value of the transported shipment is not notified to the Carrier by the day before the day of transportation, it is the Carrier&#039;s duty to request information from the Sender about the value of the shipment to be transported. If the Carrier does not fulfill its obligation according to the previous sentence, it is valid that it was properly informed of the value of the shipment, and that at the time of concluding the transport contract, the Carrier has valid insurance in case of its liability for damage incurred during the performance of the transport contract with the amount of insurance coverage at least in the amount of of the first sentence of this provision of the GTC. The carrier further declares that the validity and effectiveness of the insurance contracts will not end earlier than the date of termination of this transportation agreed in this contract. At the request of the Sender, the Carrier is obliged to send the Sender a copy of the insurance contract by email or fax. The carrier is responsible for the validity of all necessary transportation permits, as well as other necessary documents required for transportation. In case of violation of some of the above-mentioned obligations, the Carrier is obliged to pay the Sender a contractual fine in the amount of EUR 1,000 for each individual violation, and in case of non-fulfillment of the minimum amount of insurance coverage in the amount agreed in this point, a contractual fine in the amount of the difference between the amount of insurance coverage, which the Carrier has committed to and the amount of real insurance coverage for which it has a valid insurance contract. In the event of damage to the shipment, this damage will be liquidated as a priority from the Carrier&#039;s insurance, in the full amount, in which the damage actually occurred, even beyond the limit of liability for damage determined by the CMR Convention.<\/li>\n\n\n\n<li>The carrier is responsible for damage to the shipment in accordance with the provisions of the CMR Convention and for transports that are not governed by the provisions of this Convention, according to the provisions of the Commercial Code and other related legislation of the Slovak Republic.<\/li>\n\n\n\n<li>Dopravca zodpoved\u00e1 za vyhovuj\u00faci technick\u00fd stav vozidla, vr\u00e1tane lo\u017enej plochy&nbsp; a nepo\u0161kodenej plachty, zodpoved\u00e1 rovnako aj za povinn\u00fa v\u00fdbavu os\u00e1dky vozidla a jej pou\u017eitie (ochrann\u00e1 prilba, ochrann\u00e9 okuliare, pracovn\u00e9 rukavice, pracovn\u00e1 obuv). Dopravca rovnako &nbsp; zodpoved\u00e1 &nbsp; za &nbsp; to, &nbsp; \u017ee &nbsp; preprava &nbsp; je &nbsp; realizovan\u00e1 &nbsp; len &nbsp; osobami s potrebnou odbornou sp\u00f4sobilos\u0165ou. V pr\u00edpade poru\u0161enia niektor\u00fdch z vy\u0161\u0161ie uveden\u00fdch povinnost\u00ed je Dopravca povinn\u00fd uhradi\u0165 Odosielate\u013eovi zmluvn\u00fa pokutu vo v\u00fd\u0161ke 200,- EUR&nbsp; za ka\u017ed\u00e9 jednotliv\u00e9 poru\u0161enie.<\/li>\n\n\n\n<li>The Carrier undertakes not to contact the Sender&#039;s customer beyond the scope of the obligations arising from this transport contract, only if this contact of the transport provider with the customer would be justified by an already existing contractual relationship. The Carrier undertakes not to enter into a contract of carriage with the Sender&#039;s customer (i.e. the sender, receiver or owner of the shipment) within a period of one year from the date of the carriage in accordance with the carriage contract concluded between the Carrier and the Sender. The Carrier undertakes to protect the interests of the Sender as well as all parties involved in the transport and to maintain trade secrets. For violation of the above-mentioned obligations in this paragraph, the Sender is entitled to a contractual fine of 5,000 euros against the Carrier.<\/li>\n\n\n\n<li>In the event that the contractual penalty is calculated and claimed against the Carrier, the Sender&#039;s right to any insurance payment remains unaffected. Claiming any agreed contractual fine in this contract does not affect the Sender&#039;s right to demand compensation for damage that exceeds the amount of the billed contractual fine.<\/li>\n\n\n\n<li>V pr\u00edpade poru\u0161enia &nbsp; niektorej &nbsp; z povinnost\u00ed &nbsp; Dopravcu, &nbsp; ktor\u00e1 &nbsp; je &nbsp; v zmysle &nbsp; zmluvy o preprave, a teda aj t\u00fdchto VOP, zabezpe\u010den\u00e1 zmluvnou pokutou, je Odosielate\u013e opr\u00e1vnen\u00fd uplatni\u0165 vo\u010di Dopravcovi aj len n\u00e1hradu \u0161kody, bez s\u00fa\u010dasn\u00e9ho uplatnenia zmluvnej pokuty.<\/li>\n\n\n\n<li>Contract fine, or compensation for damage is due on the day following the day of its application to the other contracting party. Contract fine, or compensation for damages must be claimed in writing so that it is clear from the claim what the contracting party is aiming for. The written form is considered to be complied with even if the act is done in electronic form. Contract fine, or compensation for damage is considered to have been applied on the day following the day on which the contractual party against whom the application is directed had the possibility to apply the contractual fine, or compensation for damage to be notified.<\/li>\n\n\n\n<li>Waiting for loading or unloading up to 8 hours is also included in the agreed transport price.&nbsp;<\/li>\n\n\n\n<li>The sender is entitled to cancel the order for transportation within a period of no later than 12 hours before the planned loading of the shipment without any sanctions from the Carrier. These documents are mainly: bill of lading, or CMR waybill, , record of the operation of the freight transport vehicle (vehicle performance record), delivery notes for the shipment, pallet slips, copies of shipping charges, weighted note, or other proof of delivery of the shipment in an intact state to the recipient. In case of shipment under customs supervision, the Carrier is also obliged to deliver to the Sender copies of customs documents, or CMR consignment note, confirmed by the relevant customs authority.<\/li>\n\n\n\n<li>Odosielate\u013e &nbsp; je &nbsp; povinn\u00fd&nbsp; &nbsp; zaplati\u0165&nbsp; &nbsp; Dopravcovi&nbsp; &nbsp; dohodnut\u00fa&nbsp; &nbsp; cenu&nbsp; &nbsp; prepravn\u00e9ho. V dohodnutej cene prepravy s\u00fa zahrnut\u00e9 v\u0161etky ved\u013eaj\u0161ie poplatky, ktor\u00fdch vynalo\u017eenie je nevyhnutn\u00e9 na riadne vykonanie prepravy.<\/li>\n\n\n\n<li>The Carrier&#039;s invoice for the performed transportation is due within 60 days from the date of its receipt by the Sender.<\/li>\n\n\n\n<li>The invoice together with the original bill of lading, or of the CMR waybill the Carrier will send to the address: EURO Invest PO sro, Volgogradsk\u00e1 13, 080 01 Pre\u0161ov, Slovak Republic.<\/li>\n\n\n\n<li>If it is in the bill of lading, or the CMR waybill (or other document confirming the execution of the transport) contains any reservation, the payment of the shipping fee is postponed until the claim of the reservation is resolved by the authorized person.<\/li>\n\n\n\n<li>Zmluvn\u00e9 strany sa dohodli, \u017ee Dopravca nem\u00e1 z\u00e1dr\u017en\u00e9 pr\u00e1vo ani z\u00e1lo\u017en\u00e9 pr\u00e1vo k&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; z\u00e1sielke a to ani za \u00fa\u010delom zabezpe\u010denia poh\u013ead\u00e1vky Dopravcu vo\u010di Odosielate\u013eovi zo zmluvy o preprave. Dopravca je v\u017edy povinn\u00fd z\u00e1sielku doda\u0165 pr\u00edjemcovi. Z\u00e1dr\u017en\u00e9 pr\u00e1vo a z\u00e1lo\u017en\u00e9 pr\u00e1vo k z\u00e1sielke Dopravcovi nepatr\u00ed.<\/li>\n\n\n\n<li>Dopravca je povinn\u00fd dodr\u017eiava\u0165 minim\u00e1lnu mzdu vodi\u010da, ktor\u00fd ako zamestnanec Dopravcu vykon\u00e1va prepravu v s\u00falade so z\u00e1konom o minim\u00e1lnej mzde platn\u00fdm v Spolkovej republike Nemecko (Gesetz zur Regelung eines allgemeinen Mindestlohns (Mindestlohngesetz &#8211; MiLoG) (\u010falej len \u201ez\u00e1kon o minim\u00e1lnej mzde MiLoG\u201c) a v s\u00falade so z\u00e1konom o minim\u00e1lnej mzde platn\u00fdm vo Franc\u00fazskej republike (Loi Macron) (\u010falej len \u201ez\u00e1kon o minim\u00e1lnej mzde Loi Macron\u201c). Dopravca je tie\u017e povinn\u00fd riadne a v\u010das splni\u0165 &nbsp; v\u0161etky&nbsp; &nbsp; svoje&nbsp; &nbsp; oznamovacie&nbsp; &nbsp; povinnosti&nbsp; &nbsp; a povinnosti&nbsp; &nbsp; v oblasti&nbsp; &nbsp; vytv\u00e1rania a poskytovania pr\u00edslu\u0161nej dokument\u00e1cie vo\u010di pr\u00edslu\u0161n\u00fdm org\u00e1nom Spolkovej republiky Nemecko, ako i v\u0161etky ostatn\u00e9 povinnosti, ktor\u00e9 mu vypl\u00fdvaj\u00fa z platn\u00e9ho znenia z\u00e1kona o minim\u00e1lnej mzde MiLoG. Rovnako je Dopravca povinn\u00fd riadne a v\u010das splni\u0165 v\u0161etky svoje povinnosti, ktor\u00e9 mu vypl\u00fdvaj\u00fa z platn\u00e9ho z\u00e1kona o minim\u00e1lnej mzde Loi Macron v pr\u00edpade, kedy je dan\u00e1 jeho p\u00f4sobnos\u0165. Dopravca vyhlasuje, \u017ee je obozn\u00e1men\u00fd s aktu\u00e1lne platn\u00fdm a \u00fa\u010dinn\u00fdm znen\u00edm z\u00e1kona o minim\u00e1lnej mzde MiLoG a z\u00e1kona o minim\u00e1lnej mzde Loi Macron a zav\u00e4zuje sa ich dodr\u017eiava\u0165. Dopravca je povinn\u00fd plnenie uveden\u00fdch povinnost\u00ed v zmysle tohto bodu VOP Odosielate\u013ea na v\u00fdzvu Odosielate\u013ea kedyko\u013evek dostato\u010dne preuk\u00e1za\u0165. T\u00fato povinnos\u0165 m\u00e1 Dopravca tie\u017e v\u00fdslovne vo\u010di n\u00e1rokom org\u00e1nov soci\u00e1lneho poistenia, finan\u010dn\u00fdch \u00faradov ako i ostatn\u00fdch org\u00e1nov, pr\u00edslu\u0161n\u00fdch na kontrolu dodr\u017eiavania predmetn\u00fdch z\u00e1konov. V pr\u00edpade ak Dopravca vykon\u00e1 prepravu prostredn\u00edctvom tretej osoby, in\u00e9ho dopravcu (vi\u010f \u010dl. III bod 8 t\u00fdchto VOP Odosielate\u013ea), je povinn\u00fd zabezpe\u010di\u0165 a overi\u0165, aby t\u00e1to osoba riadne a v\u010das splnila v\u0161etky &nbsp; svoje &nbsp; povinnosti &nbsp; vypl\u00fdvaj\u00face &nbsp; zo &nbsp; z\u00e1kona &nbsp; o minim\u00e1lnej &nbsp; mzde &nbsp; MiLoG &nbsp; ako i povinnosti zo z\u00e1kona o minim\u00e1lnej mzde Loi Macron v pr\u00edpadoch, kedy je dan\u00e1 ich p\u00f4sobnos\u0165. Ak t\u00e1to tretia osoba nespln\u00ed ktor\u00fako\u013evek z povinnost\u00ed vypl\u00fdvaj\u00facich jej zo z\u00e1kona o minim\u00e1lnej mzde MiLoG alebo zo z\u00e1kona o minim\u00e1lnej mzde Loi Macron, zodpoved\u00e1 za pr\u00edpadn\u00fa \u0161kodu alebo ulo\u017een\u00e9 sankcie z d\u00f4vodu tohto poru\u0161enia v celom rozsahu Dopravca, ktor\u00fd je pr\u00edpadn\u00fa \u0161kodu alebo ulo\u017een\u00e9 sankcie povinn\u00fd v plnej v\u00fd\u0161ke nahradi\u0165. Vyu\u017eit\u00edm tretej osoby na vykonanie prepravy sa Dopravca nijako nezbavuje zodpovednosti a povinnost\u00ed, ktor\u00e9 mu vypl\u00fdvaj\u00fa z ustanoven\u00ed tohto bodu VOP Odosielate\u013ea. Zmluvn\u00e9 &nbsp; strany &nbsp; sa &nbsp; dohodli, &nbsp; \u017ee &nbsp; v pr\u00edpade &nbsp; poru\u0161enia &nbsp; ktorejko\u013evek z povinnost\u00ed, uveden\u00fdch v tomto bode VOP Odosielate\u013ea je Odosielate\u013e opr\u00e1vnen\u00fd vy\u00fa\u010dtova\u0165 Dopravcovi zmluvn\u00fa pokutu vo v\u00fd\u0161ke 200,- EUR za ka\u017ed\u00e9 jednotliv\u00e9 poru\u0161enie.<\/li>\n\n\n\n<li>The carrier declares that the limitation period is extended to 10 years from the time when the limitation period started to run for the first time for all the claims of the Sender against the Carrier due to the performed transports.<\/li>\n<\/ol>\n\n\n\n<p><strong>An article<\/strong><strong>IV<\/strong><\/p>\n\n\n\n<p><strong>Final<\/strong><strong>provisions<\/strong><\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>The Carrier does not have the right to assign its claims against the Sender from the contract of carriage to a third party without the prior written consent of the Sender.<\/li>\n\n\n\n<li>Any disputes arising between the Carrier and the Sender from the concluded transport contract, the Contracting Parties will try to resolve primarily by extrajudicial means.<\/li>\n\n\n\n<li>All legal relations established between the Contracting Parties, established on the basis of the contract of carriage, including relations related to the concluded contract of carriage, are always governed by the legal regulations of the Slovak Republic and international treaties, which take precedence over the legal regulations of the Slovak Republic. Applicable law is always Slovak.<\/li>\n\n\n\n<li>The contracting parties agree and declare that all disputes arising from legal relations arising from this contract of carriage or related to this contract, including all secondary legal relations, claims for the issuance of unjust enrichment, claims for damages, disputes about validity, interpretation, termination of this contract, will be resolved before the materially and locally competent general court in the Slovak Republic.<\/li>\n\n\n\n<li>These updated GTC are valid from 01.05.2023.
